The steps are:
1st, u need to make an autorun file. To do this, open notepad.exe and then type
[autorun]
icon=
For example, if your icon's name is mickey, the command goes like this:
[autorun]
icon=mickey.ico
Save the file with the name autorun.inf (it'll be .txt by notepad's default) into your thumb drive, including the .ico file. U'll have to eject the drive and plug it in again .The same thing goes with CD's, only that u have to include those two files with other ones that ur going to burn. For best result, make sure that your icon is in .ico format. I'm not sure with other icon types, but why bother if this one works :-)
If properly done, u'll see ur icon on ur drive in My Computer, instead of the default ones from Windows. Have fun
